[...] Subscriber may use Licensed Data for the following purposes during an active subscription and, with respect to Licensed Data already delivered, thereafter: (i) Subscriber’s internal business purposes, including identification, qualification, and outreach to prospective customers of Subscriber’s own products and services, (ii) lead generation, marketing, and outreach activities by Subscriber, including without limitation email, direct mail, and telephone outreach, in each case in compliance with all applicable laws [...], (iii) enrichment of Subscriber’s own customer, prospect, or business records with Licensed Data, (iv) the training, development, fine-tuning, evaluation, and operation of Subscriber’s artificial intelligence, machine learning, and large language model systems, in each case for Subscriber’s approved use case, (v) incorporation of Licensed Data into Subscriber’s own products and services offered to Subscriber’s end customers, PROVIDED THAT the Licensed Data is not the principal product or service being offered, sold, licensed, or otherwise made available, and PROVIDED FURTHER THAT such incorporation does not violate any restriction set forth in Section 22(e), and (vi) internal analytics, market research, business intelligence, and reporting by Subscriber. Subscriber represents, warrants, and covenants that Subscriber shall not, and shall not permit any third party to: (i) resell, redistribute, sublicense, syndicate, repackage, or otherwise transfer Licensed Data, in whole or in substantial part, as a standalone product, service, dataset, or feed, or as the principal component of any product, service, dataset, or feed, (ii) provide, disclose, or make Licensed Data available to any direct competitor of Bizapedia, or to any third party that Subscriber knows or reasonably should know intends to use the Licensed Data to develop, populate, enhance, or operate a business intelligence service, business entity directory, company lookup service, registered agent or principals directory, or other service that competes with Bizapedia or any of its affiliates, (iii) publish, post, or otherwise make Licensed Data publicly available, including without limitation on any public website, public database, or other public-facing search, directory, or lookup service, (iv) share, transfer, or disclose Subscription Service login credentials, API keys, MCP authentication tokens, or other authentication credentials with or to any person outside Subscriber’s organization, or permit any such person to access any Subscription Service using Subscriber’s credentials, (v) use Licensed Data to populate, enhance, augment, train, or otherwise contribute to any database, directory, or service that competes with Bizapedia or any of its affiliates, (vi) scrape, crawl, spider, harvest, or otherwise programmatically collect Entity Information or other content from the Website (as opposed to receiving Licensed Data through the authorized Subscription Service), whether to verify, supplement, augment, or replace Licensed Data or for any other purpose [...], (vii) use Licensed Data, the Subscription Services, or any output thereof in any manner that violates any applicable law, rule, or regulation [...], or (viii) attempt to do, or assist any third party in doing, any of the foregoing. [...] Subscriber shall not use Pro API or Bizapedia MCP to circumvent any technical limitation, security measure, access control, or anti-scraping measure applicable to the Website.
